                          關于持續深化壓縮企業開辦時間的意見

                          各省、自治區、直轄市及計劃單列市和副省級城市市場監管部門、發展改革部門、公安部門、人力資源社會保障部門、稅務部門,新疆生産建設兵團相關部門:

                            爲深入貫徹落實2019年《政府工作報告》和《國務院辦公廳關于進一步壓縮企業開辦時間的意見》(國辦發〔201832號,以下简称《意见》)的部署,努力打造更加優質的營商環境,提升企業和群衆對企業開辦便利化的實際體驗,市場監管總局、發展改革委、公安部、人力資源社會保障部、稅務總局就持續深化壓縮企業開辦時間工作提出如下意見:

                            一、工作目標

                            ()總體要求。力爭2019年年底前,全國實現壓縮企業開辦時間至5個工作日內,提前完成本屆政府提出的目標。鼓勵具備條件的地方,在確保工作質量前提下,壓縮企業開辦時間至3個工作日內。

                            ()具體目標。各地相關政府部門針對本系統存在的非法定涉及企業開辦事項、程序和提交材料進行清理,共同將《意見》規定的企業登記、印章刻制、申領發票和社保登記4個環節至少壓減爲企業登記、印章刻制、申領發票3個環節,社保登記的申請合並到企業登記環節中。要采取有效措施,將各環節辦理時間分別控制在:企業登記2個工作日內,印章刻制1個工作日內,初次申領發票2個工作日內。

                            二、主要措施

                            ()全面推行企業開辦全程網上辦1. 各地要開通一網通辦平台(或服務專區等),整合設立登記、印章制作、申領發票、社保登記等各類企業開辦事項和網上服務資源,加強信息共享,切實具備登錄一個平台、填報一次信息、後台實時流轉、即時回饋信息的企業開辦服務能力。有條件的地方,要大力推行辦件寄遞、證票自助打印等服務,逐步實現不見面辦理。2. 依托各級政務服務大廳等,建立企業開辦專窗(或專區),應用一網通辦平台,實現申請人可在一個窗口提交和接收所有辦件。3.將電子營業執照作爲企業在網上辦理企業登記、印章制作、社保登記等相關業務的合法有效身份證明和電子簽名手段,推動企業領用電子營業執照。

                            ()進一步優化企業登記服務1. 大力推行標准化、智能化、自動化的全程電子化登記,建立健全零見面企業登記工作機制。2. 取消名稱預先核准,全面推行名稱自主申報與設立登記合並辦理,進一步優化辦理流程。3. 各省(區、市)要統一規範本轄區內公司章程、股東會決議等標准格式參考範本,供申請人自主選擇、免費使用。全程通過網上辦理有限責任公司設立登記、公司主要成員全部通過有效身份驗證並對提交材料進行電子簽名的,申請人可選擇不再另行上傳身份(主體資格)證明文件。4. 結合本地實際,大力推行同城通辦”“銀行網點代理申請登記注冊等便利化舉措。

                            ()進一步規範印章刻制服務1. 對于尚未建成印章業信息系統的地方,要強化責任落實,盡快完成建設應用工作,通過政府購買服務的方式對系統運維、升級改造予以經費保障。要拓展系統服務功能,通過微信小程序、手機APP、微信公众號等形式实现网上刻章业务办理,确保实现用章单位在线选择本地区所有公章刻制企业、了解刻制价格以及网络支付等功能。2. 嚴格落實國務院明令取消公章刻制審批的政策規定,不得以任何形式要求用章單位自行辦理公章刻制備案。對于落實不到位、變相進行審批的予以嚴肅查處。3. 各地公安部門科學規劃本地公章刻制企業數量,既要合理布局促進良性競爭,又要防止盲目發展導致惡性競爭。要積極引導公章刻制價格趨于合理,嚴禁指定公章刻制企業刻制公章,避免形成隱形壟斷。4. 積極推廣電子印章廣泛應用,在北京市、上海市開展先行先試。

                            ()進一步簡化涉稅事項辦理1. 嚴格落實《關于進一步推進多證合一工商共享信息運用工作的通知》(稅總函〔2017402),強化企業登記信息共享應用。2. 大力推行電子發票應用。在重點行業和有使用需求的納稅人中加大電子發票推行力度。3. 深入推進新辦納稅人套餐服務,進一步簡並流程、提速審批,實現線上申請、線上核驗,現場一次辦結。企業只進行初次申領發票操作的,無需提供銀行開戶信息。

                            ()進一步完善社保登記服務1. 全面推行社保登記經辦服務網上辦理,簡化整合辦事環節、辦事材料。2. 將社保登記經辦服務納入一網通辦平台,實現企業在辦理設立登記時,即可同時填報企業參保信息、職工參保信息等信息,無須另行登錄其他系統或平台。3. 健全數據應用和反饋機制,提升共享信息使用率,在企業在線填報並確認企業參保信息、職工參保信息等信息後,通過跨部門信息共享和部門內部數據流轉同步辦理企業社保登記,並將辦理結果及時通過一網通辦平台反饋企業。

                            三、保障措施

                            ()強化部門間協調配合。各地市場監管部門要切實履行工作牽頭職責,針對上述工作目標和措施,會同相關部門研究確定本地區具體時間表和路線圖。各地發展改革、公安、人力資源社會保障、稅務等部門,要分工協作,切實抓好本部門有關工作任務的落實落地。

                            ()提升互聯網+”服務能力。各地要不斷提升信息共享和應用支撐保障能力,發展改革部門要在相關信息化項目審批等方面給予大力支持。要加強現場輔導、幫辦,引導申請人更多通過線上辦理業務。要切實做好業務咨詢解答和一次性告知,對于提交材料中不符合法律法規要求的內容要提供電子或書式告知單。

                            ()注重改革實際效果。要特別注重了解企業和群衆對壓縮企業開辦時間的實際感受,持續加強政策解讀和宣傳報道,提升企業和群衆對改革的認知度和參與度。要落實《意見》有關要求,按照國際可比、對標世行、中國特色原則,切實做好自查自評工作,相互借鑒、有序競爭,不斷將壓縮企業開辦時間工作引向深入。

                          ()嚴肅追究問責機制。要采取有效措施,追蹤和記錄企業辦事流程信息,並爲申請人提供便捷和動態查詢辦事信息的有效渠道。要充分利用多證合一數據信息共享,任何單位和工作人員不得違法擅自設置企業開辦其他條件和要求。要嚴格追究不按時限、不按規範辦事的單位和個人責任。對于地方違法擅自設置企業開辦其他條件和要求的,一經發現要逐級上報並堅決予以清理整頓。市場監管總局等有關部門將建立問責通報機制,對于工作落實不力的發現一起、通報一起;對于造成嚴重不良社會影響的,將嚴肅追究問責。

                          Opinions of Five Authorities, including State Administration for Market Regulation,

                          on Constantly Deepening the Reduction of the Length of Time Required to Start a Business

                          (Guo Shi Jian Zhu [2019] No. 79)


                          Market regulatory authorities, development and reform authorities, public security authorities, human resources and social security authorities, and tax authorities of all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning and sub-provincial cities, and related authorities of Xinjiang Production and Construction Corps:

                            To profoundly put into practice the deployments of 2019 Government Work Report and the Opinions of General Office of the State Council on Further Reducing the Length of Time Required to Start a Business (Guo Ban Fa [2018] No. 32, hereinafter referred to as “the Opinions”), strive to create a higher-quality business environment, and improve the real experience of companies and the people in the facilitation of starting a business, the State Administration for Market Regulation, the National Development and Reform Commission, the Ministry of Public Security, the Ministry of Human Resources and Social Security, and the State Administration of Taxation jointly proposed the following opinions on continuously deepening the work of reducing the length of time required to start a business:

                            I. Work Objectives

                            (I) General Requirements. We will strive to realize the goal of reducing the length of time required to start a business to within 5 working days before the year of 2019, thus completing the goal set by the current government in advance. For places with conditions permitted, we will encourage them to reduce the length of time required to start a business to within 3 working days under the premise of ensuring work quality.

                            (II) Specific Objectives. Competent local government departments shall clean up non-statutory matters, procedures and submission materials, related to business starting, in the system. They shall jointly shorten the 4 processes (business registration, seal engraving, invoice application and collection, and social security registration) provided in the Opinions to 3 processes, namely, business registration, seal engraving, and invoice application and collection. To put it another way, the application of social security registration shall be merged into the process of business registration. We need to take effective measures to control the processing time of each process separately as follows: Business registration shall be completed within 2 working days. Seal engraving within 1 working day. Invoice application and collection for the first time within 2 working days.

                            II. Main Measures

                            (I) Comprehensively promoting the online handling of starting a business in the entire course. 1. All localities need to open the platform of “handling all matters through one network” (or special service zone, etc.), integrate various business handling matters (including establishment and registration, seal engraving, invoice application and collection, and social security registration) and online service resources, strengthen information sharing, and effectively possess the ability to provide services for starting a business, featuring “logging in to a platform, filling in information one-off, circulating in real time at the back-end platform, and giving feedback information immediately”. Conditions permitted, localities need to vigorously promote services such as sending documents via express delivery, and self-printing of certificates and invoices, and gradually realize the remote handling (no need to handle face to face). 2. Relying on government service halls at various levels, etc., we shall establish special windows (or special zones) for starting a business, utilize the platform of “handling all matters through one network”, and make applicants able to submit and receive all documents in a window. 3. Electronic business licenses will be used as a legal and effective identity certificate and electronic signature means for companies to handle businesses (including business registration, seal making, social security registration) on the Internet, so as to promote companies to obtain and use electronic business licenses.

                            (II) Further optimizing business registration services. 1. We shall vigorously promote the whole-process electronic registration in a standardized, intelligent and automated manner, and establish and improve the “zero-meeting” business registration mechanism. 2. We shall cancel the pre-approval procedure for enterprise name selection, comprehensively promote the merged handling of autonomous application of enterprise name and establishment and registration, and further optimize handling processes. 3. All provinces (autonomous regions and municipalities directly under the Central Government) shall uniformly standardize samples providing reference for standard formats in terms of Articles of Association and resolutions of shareholders’ meetings, etc., within their respective jurisdictions, for applicants to choose independently and use free of charge. If establishment and registration of a limited liability company is handled on the Internet in the whole process and main members of a company pass the effective identity certificates and complete electronic signatures for submitted materials, applicants can select not to upload identity (subject qualification) documents any longer. 4. In light of local conditions, we will vigorously implement such facilitation measures as “city-wide general handling”, “registration application with banking outlets as agents”, etc.

                            (III) Further regulating seal engraving services. 1. For places where the seal industry information system has not been completed, we need to strengthen the implementation of responsibilities, complete the construction and application work as soon as possible, and provide financial support for system operation and maintenance, upgrade and transformation through the government’s purchase of services. We need to extend the system service function, realize the online handling of seal engraving business via WeChat applets, mobile APP, WeChat public account and other means, and ensure that companies using seals can select all seal engraving companies in local territories online and learn the prices for seal engraving, and Internet payment and other functions as well. 2. We shall strictly implement the policy stipulations of the State Council expressly ordering the cancellation of the examination and approval of the engraving of official seals. We shall not require companies using seals to handle the engraving and filing of official seals on their own in any form. Those who fail to implement properly and carry out examination and approval in a disguised form shall be seriously investigated and punished. 3. Public security departments of all localities shall scientifically plan the number of companies to engrave seals. They shall complete the rational layout to promote the benign competition and simultaneously prevent blind development, which may lead to vicious competition. We need to actively guide the price of seal engraving to be reasonable. It is strictly forbidden to appoint a seal engraving company to engrave seals, so as to avoid the formation of an invisible monopoly. 4. We shall actively promote the extensive application of electronic seals. Pilot tests will be carried out firstly in Beijing and Shanghai.

                            (IV) Further simplifying handling of tax affairs. 1. We shall strictly implement the Circular of State Administration of Taxation on Further Pushing Ahead with “Integrating Certificates Into One” Industry and Commerce Information Sharing Application Work (Shui Zong Han [2017] No. 402), and strengthen the information sharing and application of business registration. 2. Vigorously implement electronic invoice application. The promotion efforts of electronic invoices shall be enhanced among key industries and taxpayers with usage demands. 3. We shall profoundly promote “package” services for new taxpayers, further streamline processes, shorten the length of time for approval, realize online application and online verification, and bring a case to be concluded one-off on the spot. For companies only applying for invoice application and collection for the first time, they do not need to provide bank account opening information.

                            (V) Further improving social security registration services. 1. We shall comprehensively promote the online handling of social security registration service, and simplify and integrate handling links and materials. 2. We shall contain social security registration service in the platform of “handling all matters through one network”. Companies, at the time of handling establishment and registration, can fill up insurance information at the company and individual levels simultaneously. They need not log in to other systems or platforms. 3. We shall improve data application and feedback mechanism and the utilization rate of shared information. After companies fill up and confirm insurance information at the company and individual levels, etc., we can handle enterprise social insurance registration through interdepartmental information sharing and internal data circulation in a synchronized manner, and timely send handling results to companies through the platform of “handling all matters through one network”.

                            III. Guarantee Measures

                            (I) Strengthening inter-departmental collaboration and coordination. Market regulatory departments of all localities must earnestly perform their leading responsibilities, and work with relevant departments to study and determine the specific timetable and roadmap for their respective regions in light of the above work objectives and measures. Development and reform, public security, human resources and social security and taxation authorities in all regions shall form coordination according to the division of labor and effectively implement their relevant tasks.

                            (II) Improving “Internet+” service capabilities. All localities need to continuously improve the ability of information sharing and application support and guarantee. Development and reform departments shall give strong support in the examination and approval of relevant information projects. It is necessary to strengthen on-site counseling and assistance, and guide applicants to conduct more business online. Business consultation and “one-off notification” shall be completed well. For the contents that do not meet the requirements of laws and regulations, we shall provide electronic or written notification forms.

                            (III) Paying attention to the actual effect of reform. We shall emphasis on understanding the actual feelings of companies and the people about reducing the length of time required to start a business, continuously strengthen policy interpretation and publicity and reporting, and enhance the awareness and participation of companies and the people for the reform. We shall implement the relevant requirements of the Opinions. We shall effectively complete the self-examination and self-evaluation work in accordance with the principles of international comparability, benchmarking the World Bank and Chinese characteristics. Drawing lessons from each other and competing in an orderly manner, we shall continue to deepen the work of reducing the length of time required to start a business.

                            (IV) Seriously implementing accountability mechanism. We need to take effective measures, to track and record the information about business handling processes, and to provide applicants with effective channels for convenient, dynamic inquiry of business handling information. We shall make full use of the “Integrating Certificates into One” data and information sharing. No units and staff members can set up other conditions and requirements for business starting. We shall pay much attention to the responsibilities of units and individuals that do not comply with the time limit and do not act according to the norms. If localities set up other conditions and requirements for business starting illegally and without authorization and once the situations are found, we shall report the situations to authorities level by level and have them resolutely rectified. Competent departments, including the State Administration for Market Regulation, will establish the accountability and notification mechanism. For those failing to implement the Opinions properly, they will be notified and treated on a case-by-case basis. For those causing serious adverse social impact, they will be seriously held accountable.
